Terms and Conditions
1. Applicability
FIERCE LEGAL is a private limited liability company, established under Dutch law, focusing on (arranging) legal services, providing legal advice, and offering legal documents, particularly to entrepreneurs. These terms and conditions apply to all assignments and additional assignments (including follow-up assignments) from FIERCE LEGAL’s clients. All provisions in these terms and conditions are also drawn up for the benefit of everyone working for FIERCE LEGAL. The applicability of any general terms and conditions of the client is explicitly excluded.
2. Assignment
All assignments are deemed to have been given to FIERCE LEGAL. Parties are free to terminate the assignment during its term, if desired with immediate effect. In case of interim or immediate termination, FIERCE LEGAL retains the right to payment for work performed up to that point, as well as any related activities and associated costs. Any materials or documents already provided will be returned or destroyed in consultation, unless agreed otherwise in writing.
FIERCE LEGAL is entitled to have assignments carried out by its designated partners and employees, possibly involving third parties, under its responsibility.
The selection of third parties to be engaged shall, where reasonably possible, be made in consultation with the client and with due care. FIERCE LEGAL is not liable for shortcomings or negligence of these third parties.
3. Execution of the AssignmentThe client is obliged to provide all data deemed necessary by FIERCE LEGAL for the execution of the assignment in a timely manner, as well as all data that the client should reasonably understand to be necessary.
FIERCE LEGAL is entitled to charge an advance payment and will only begin executing the work after receiving the advance payment. Any (legal) consequences of a suspension of work are entirely at the client’s expense and risk. No interest will be paid on received advance payments.
If it appears that the client has knowingly provided incorrect or incomplete information, thereby harming FIERCE LEGAL’s interests, FIERCE LEGAL is entitled to (temporarily) stop the execution of the assignment.
The client guarantees that the provided data is accurate, complete, and reliable, even if it originates from third parties. FIERCE LEGAL is not liable for damage resulting from incorrect or incomplete data from the client, unless this inaccuracy or incompleteness should have been known to FIERCE LEGAL.
Unless explicitly agreed otherwise in writing, any agreed term for the execution of the assignment is indicative and does not constitute a deadline. If the indicative term is exceeded, the client must provide written notice of default and grant FIERCE LEGAL a reasonable period of at least 14 days to complete the assignment.
4. Costs and Billing
The costs for the execution of the assignment by FIERCE LEGAL consist of the agreed rate, plus applicable VAT and disbursements. The costs are determined based on a fixed price, assuming the execution of the work within a reasonable timeframe. Unless explicitly agreed otherwise, the fixed price does not apply to work that must be carried out urgently.
Disbursements include actual costs incurred by FIERCE LEGAL on behalf of the client in the context of the assignment, such as translation costs, courier costs, travel expenses, and costs of extracts. These costs are at the client’s expense.
FIERCE LEGAL is at all times entitled to require an advance payment from the client if, in its opinion, this is necessary given the nature of the assignment. A received advance payment will be settled against the total amount payable at the end of the assignment.
5. Payment
Payment of invoices must be made in full within 14 days of the invoice date by transferring the amount due.
If this term is exceeded, the client is legally in default, regardless of what remains outstanding. Without requiring a notice of default. If the client is in default, statutory interest is due on the outstanding invoice amount. If FIERCE LEGAL takes collection measures against the defaulting client, all costs related to that collection will be charged to the client.
FIERCE LEGAL is entitled to suspend the execution of its obligations until all due claims from the client have been fully paid. FIERCE LEGAL is not liable for any damage resulting from this suspension of work.
6. Liability
FIERCE LEGAL’s liability for damage resulting from or related to the execution of the assignment is always limited. This liability is limited to the refund of the amount agreed in the quotation for the relevant service or product.
If third parties are engaged in the execution of the assignment, FIERCE LEGAL is not liable for any errors or shortcomings of these third parties. The applicability of Article 6:76 of the Dutch Civil Code is explicitly excluded. The liability limitations included in this clause also apply for the benefit of any third party engaged in the execution of the assignment or who may be liable in connection with it.
FIERCE LEGAL performs its work based on a best-efforts obligation and can never be held to or liable for a specific result. Under no circumstances is FIERCE LEGAL liable for indirect damage, including but not limited to loss of turnover or goodwill, reduced revenue, lost profits, or other forms of consequential damage.
7. Copyright
Unless explicitly agreed otherwise in writing, FIERCE LEGAL retains all rights and powers granted to it under the Copyright Act with respect to all works produced in the context of executing the assignment. This includes but is not limited to advice, letters, legal tools, checklists, contracts, manuals, guidelines, and coaching materials.
The client is not permitted to reproduce, publish, or otherwise disclose these works to third parties without prior written permission from FIERCE LEGAL.
8. Confidentiality
Both parties commit to maintaining confidentiality regarding all confidential information they receive from each other in the context of the assignment. Confidential information includes, at minimum, business data, customer information, quotations, documents, and other data that can reasonably be assumed to be confidential. This obligation remains in effect even after the termination of the assignment. Information is not considered confidential if it was already public or has become public through the actions of the other party.
9. Applicable Law/Competent Court
Dutch law applies to the legal relationship between the client and FIERCE LEGAL. Disputes will be settled exclusively by the competent court in Amsterdam.
